Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the League Tycoon mobile and web applications, the website at leaguetycoon.com, and any related services we provide (together, the "Service"). The Service is operated by Figment Labs LLC ("League Tycoon," "we," "us," or "our").

By creating an account, signing in, joining a league, making a purchase, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms include a binding arbitration agreement and a class action waiver in Section 19. Please read them carefully.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you may only use the Service with the involvement of a parent or legal guardian who agrees to be bound by these Terms on your behalf. You represent that the information you provide when registering is accurate and that you are legally permitted to use the Service in your jurisdiction.

2. Accounts

To use most features of the Service you must register an account. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account. You agree to notify us promptly if you believe your account has been accessed without your permission.

Accounts are personal and non-transferable. You may not sell, lend, rent, or share your account with any other person. You may not use the account of any other person.

3. One Account Per League. Multi-Accounting Is Prohibited.

Each person is permitted to control only one account in any given League Tycoon league. Operating, controlling, or participating in the same league through more than one account, regardless of how that account is named, registered, or paid for, is a material breach of these Terms.

For the avoidance of doubt, the following are all prohibited:

• Creating a second account to enter a league you already participate in;
• Coordinating with another person so that one of you controls multiple teams in the same league;
• Logging into another user's account to make roster, draft, trade, contract, or voting decisions in a league you also participate in;
• Using a friend, family member, or third party as a "front" account to hold an additional team in a league;
• Re-creating an account after a ban or suspension to evade enforcement, including by using a different email address, phone number, payment method, or device.

We may ban, suspend, or remove any account at our sole discretion if we believe, in good faith, that the account is involved in multi-accounting or ban evasion. We do not need to prove this to a legal standard. We are not required to disclose the evidence or signals we relied on, and our determination is final. Accounts banned under this section are not eligible for appeal, refund, or restoration of league standings, draft picks, contracts, purchases, or other in-app items or assets. We may also remove the offending team(s) from a league, void affected transactions, and take any other action we consider necessary to protect the integrity of the league or the Service.

Commissioners may report suspected multi-accounting to us, but enforcement decisions under this section are made by League Tycoon and not by commissioners or other league members.

4. Fair Play and Prohibited Conduct

You agree not to do any of the following while using the Service:

• Collude with another user to manipulate drafts, trades, contracts, waivers, lineups, scoring, voting, or the outcome of any league;
• Make trades or transactions that are not arm's-length, including transactions designed to funnel value between accounts you or a co-conspirator control;
• Use bots, scripts, scrapers, automated agents, or any other automated means to access, interact with, or extract data from the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law expressly permits;
• Exploit bugs, glitches, or unintended behavior in the Service rather than reporting them to us;
• Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure;
• Harass, threaten, dox, impersonate, or send abusive content to other users in chat, direct messages, league activity feeds, team or league names, avatars, or any other user-facing surface;
• Post or transmit content that is unlawful, infringing, sexually explicit involving minors, or that incites violence;
• Use the Service for any illegal purpose or in violation of any applicable law, including export, sanctions, and consumer protection laws;
• Misrepresent your identity, age, or eligibility, or create an account using false or stolen information.

Catch-all. The list above is not exhaustive. We may, at our sole discretion, warn, mute, suspend, or terminate any account, and remove any team from any league, for any conduct we believe is detrimental to other users, to a league, to the integrity of the Service, or to League Tycoon's reputation, whether or not that conduct is specifically described in these Terms. We may take action based on patterns of behavior, on signals or evidence we develop internally, or on credible third-party reports. We are not required to disclose the specific basis for our decision, and our determination is final. Accounts removed under this section are not eligible for refunds or for restoration of league standings, draft picks, contracts, purchases, or other in-app items or assets.

5. User Content

The Service lets you submit content, including team names, league names, avatars, chat messages, direct messages, comments, league activity entries, and other input ("User Content"). You retain ownership of your User Content, but you grant League Tycoon a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for example to resize an avatar), publish, display, distribute, and otherwise use your User Content for the purpose of operating, providing, and improving the Service.

You represent that you have the rights necessary to grant this license and that your User Content does not violate the rights of any third party or any applicable law.

We are not obligated to monitor User Content, but we may review, edit, refuse, or remove any User Content at our sole discretion, including content we believe violates these Terms or is otherwise objectionable.

6. Subscriptions and Purchases

Some features of the Service require a paid subscription or one-time purchase. Purchases made within the iOS or Android app are processed by Apple or Google through their in-app purchase systems and are subject to their respective terms. Purchases made on the web may be processed by Stripe or another payment processor.

Auto-renewing subscriptions: Subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled before the renewal date. You can manage or cancel a subscription through the app store on which you purchased it (Apple Subscriptions, Google Play Subscriptions) or, for web purchases, by contacting us.

Price changes: We may change the price of any subscription or product. Price changes take effect at the start of the next billing period following the change, and where required by law we will give you notice and an opportunity to cancel before the change applies to you.

Taxes: Prices do not include taxes unless otherwise stated. You are responsible for any applicable taxes.

Virtual items and in-app currency. The Service may offer virtual items, in-app currency, digital tokens, and other digital goods (collectively, "Virtual Items"). This currently includes Tycoon Tokens, which when redeemed activate one team in one League Tycoon league for the applicable period (currently one (1) year). Virtual Items are licensed to you, not sold. They are personal to you and non-transferable. Virtual Items have no monetary value, are not redeemable for cash or anything of monetary value, and may only be used within the Service. We may, at any time and at our sole discretion, add, change, suspend, discontinue, expire, or modify the pricing, availability, redemption rules, or function of any Virtual Item, including changing how Tycoon Tokens are earned, spent, or expire. Unused Virtual Items have no cash value and do not entitle you to any credit, payment, or compensation if the Service is modified or discontinued.

7. Refunds

Except where required by applicable law, all purchases are final and non-refundable. For purchases made through the Apple App Store or Google Play Store, refund requests must be submitted to Apple or Google in accordance with their refund policies. For purchases made directly through us, refund requests should be sent to support@leaguetycoon.com and will be reviewed on a case-by-case basis.

Forfeiture on termination for breach. Accounts terminated, suspended, or banned for breach of these Terms, including under Sections 3 or 4, are not eligible for refunds of any kind. Without limiting the foregoing, on termination for breach you forfeit, with no refund, credit, or compensation: any unused Tycoon Tokens or other Virtual Items in your account; any Tycoon Tokens already redeemed to activate a team (including any remaining time on those activations); any subscription time remaining in a current billing period; and any in-app items, league standings, draft picks, contracts, trades, or other assets associated with the terminated account. We may also reverse, void, or refuse to honor any in-app purchases we believe were made in connection with the breach.

8. Promotions, Trials, and Beta Features

We may offer free trials, promotional pricing, or early access to features in development ("Beta Features"). Trials and promotions may be subject to additional terms presented at the time of offer. Beta Features are provided "as is" for evaluation purposes, may be changed or discontinued at any time, and may not work as a fully released feature would.

9. Intellectual Property

The Service, including all software, designs, text, graphics, logos, sounds, and other content we provide (other than User Content), is owned by League Tycoon or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. All rights not expressly granted are reserved.

"League Tycoon" and the League Tycoon logo are trademarks of League Tycoon. You may not use our trademarks without our prior written permission.

10. Third-Party Services and Data

The Service relies on third-party services and data providers, including but not limited to player and game data from third-party sports data providers, sign-in services from Apple and Google, payment processing from Apple, Google, and Stripe, and media content from third-party providers. Third-party services are subject to their own terms and privacy policies, and we are not responsible for them.

Player names, team names, statistics, schedules, and other sports data are used for identification and informational purposes only. League Tycoon is not affiliated with, endorsed by, or sponsored by the National Football League, the NFL Players Association, or any professional sports league, team, or player.

11. No Gambling. No Cash Prizes.

League Tycoon is a fantasy sports management platform. We do not operate, host, or facilitate gambling, wagering, daily fantasy contests, or contests for cash prizes. Any entry fees, dues, payouts, or prizes that league members agree to among themselves are entirely outside the Service. We are not a party to those arrangements and accept no responsibility for them. You are responsible for complying with the laws of your jurisdiction regarding any such arrangements.

12. Privacy

Our handling of personal information is described in our Privacy Policy. By using the Service, you consent to the collection and use of information as described there.

13. Termination

You may stop using the Service at any time. You may delete your account from within the app or by contacting support.

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason or no reason, including but not limited to suspected violation of these Terms. On termination, your right to use the Service ends. Sections of these Terms that by their nature should survive termination (including Sections 5, 9, 14, 15, 16, 18, 19, and 20) will survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, LEAGUE TYCOON DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT SPORTS DATA, PROJECTIONS, SCORES, OR OTHER INFORMATION PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR TIMELY.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEAGUE TYCOON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

16. Indemnification

You agree to indemnify, defend, and hold harmless League Tycoon and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, or your violation of these Terms or any law or third-party right.

17. Apple and Google App Store Terms

If you obtained the app through the Apple App Store, you acknowledge that these Terms are between you and League Tycoon, not Apple, and that Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you obtained the app through the Google Play Store, you acknowledge that these Terms are between you and League Tycoon, not Google, and that Google is not responsible for the app or its content.

18. Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Texas, without regard to its conflict of laws rules, and by applicable U.S. federal law. Subject to Section 19, any action not subject to arbitration will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction and venue in those courts.

19. Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

Agreement to arbitrate. You and League Tycoon agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the formation, interpretation, breach, or termination of these Terms, will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in the English language and seated in Travis County, Texas, although you may participate by telephone or video where permitted by the AAA rules. The arbitrator's award is final and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. You and League Tycoon agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative or class proceeding.

Exceptions. Either party may bring an individual action in small claims court if the dispute qualifies. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

Opt-out. You may opt out of this arbitration agreement by sending written notice of your decision to opt out to support@leaguetycoon.com within thirty (30) days of first accepting these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

If any part of this Section 19 is found to be unenforceable, the remainder of the section will remain in effect, except that if the class action waiver is found unenforceable as to a particular claim, that claim will be severed from the arbitration and brought in court, while all other claims will proceed in arbitration.

20. General

Entire agreement. These Terms, together with any policies referenced in them, are the entire agreement between you and League Tycoon regarding the Service and supersede any prior agreements.

Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms freely.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Changes. We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be communicated through the Service or by email when reasonably practicable. Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
